Virginia business sales

Selling a Virginia business, from Northern Virginia to Hampton Roads.

Virginia mixes Main Street businesses with a large base of government contractors and professional services firms. Each kind of business sells differently, and the plan should reflect that.

Local know how

Virginia specifics that matter

The right preparation depends on what you sell and who you sell it to.

Sales tax and the buyer

Virginia law can make a buyer responsible for a seller's unpaid sales tax unless the buyer withholds enough of the price until the seller shows the tax is paid. Buyers often ask for that proof before closing.

Government contracts

Federal contracts generally need a novation agreement to move to a new owner, and a small business set aside status may not survive a sale. Buyers price that risk, so we document it upfront.

ABC licenses

Virginia ABC licenses are not transferred to a buyer. The new owner applies for their own, and we time that application with the closing.

Federal contracting and Virginia tax rules are summarized for awareness only. Your attorney and CPA should advise on your situation.

Virginia licensing

Virginia's real estate licensing law is written around real estate, not businesses, so a license is not required to broker the business sale itself. Any real estate or lease assignment is handled by a Virginia licensed real estate professional.

Questions

Virginia questions I hear often.

Government contractors and Main Street owners ask very different questions. Here are the most common from both.

Can my federal contracts move to a buyer?

Usually not automatically. Federal contracts typically need a novation agreement approved by the contracting agency when assets change hands, and some sales are structured as stock sales to reduce that friction. Your attorney should advise on structure.

What happens to my small business set aside status after a sale?

A buyer that is larger, or not in the same program, may not keep the status, which can affect future awards. Buyers will ask, so we lay out the contract base and its status clearly.

Do Main Street businesses in Virginia sell differently?

The core process is the same: valuation, confidential marketing, negotiation and diligence. The state specific pieces are items like sales tax withholding and ABC licensing.
