California business broker

Selling a business in California takes a licensed advisor and a clean closing.

California is one of the states that requires a real estate license to broker a business sale. I hold one, and I work with California owners with Iconic behind me.

Local know how

California rules that shape your sale

These are the items that most often decide whether a California closing is smooth or delayed.

Tax clearances protect the buyer

A buyer can inherit unpaid sales tax and payroll tax. Buyers commonly ask the seller for a CDTFA certificate of payment and an EDD clearance, and escrow often holds back funds until they arrive.

Escrow and bulk sale notices

Many California business sales close through escrow. Certain sales, including restaurants and businesses that sell inventory, may also need a bulk sale notice under the California Commercial Code before closing.

Your noncompete can hold

California voids most noncompetes, but the sale of a business is a recognized exception. A buyer can ask you not to compete, and that protection is part of what they are paying for.

General information only. California tax, licensing and escrow rules should be confirmed with your CPA, attorney and escrow officer.

Questions

What California sellers ask first.

California adds paperwork most states do not. These are the questions that come up in nearly every first call.

Do I need a licensed broker to sell my business in California?

California requires a real estate license for anyone brokering a business sale for a fee. Ask any advisor for their DRE number. Mine is #02286699.

How does a liquor license transfer in a California sale?

A California ABC license transfer goes through escrow and needs ABC approval, which takes time. We start the transfer early so it does not hold up the rest of the deal.

Will the buyer hold back money for taxes?

Often, yes. Because a buyer can be responsible for a seller's unpaid sales and payroll taxes, escrow commonly holds funds until CDTFA and EDD clearances come back. Your CPA can help you request them early.

Can I agree not to compete after I sell?

Yes. California makes an exception to its noncompete ban for the sale of a business, so a reasonable noncompete tied to the sale is normal and often expected.
