Pennsylvania business sales

Selling a Pennsylvania business, from Philadelphia to Pittsburgh.

Pennsylvania has one of the oldest and most established small business bases in the country, and many of those owners are now planning their exit.

Local know how

What Pennsylvania sellers should know

A few state specific steps protect your buyer and keep your closing on schedule.

Bulk sale clearance certificate

When a Pennsylvania business sells most of its assets, the seller notifies the Department of Revenue ahead of the sale and requests a bulk sale clearance certificate. Without it the buyer can be on the hook for unpaid state taxes, so buyers will ask for it.

Licensed health businesses

Home care agencies and other licensed health businesses in Pennsylvania answer to state regulators, and a change of ownership can require new filings. I have been through this as an owner and on a Pennsylvania sale.

Family and second generation owners

Many Pennsylvania companies have run for decades. When there is no family successor, a sale to an outside buyer, a key employee or a competitor is how the legacy continues.

Pennsylvania Department of Revenue rules can change. Your CPA should confirm the clearance steps for your sale.

Where I work

From the Delaware Valley to Lake Erie

Pennsylvania deals run mostly online, with site visits in Philadelphia, Pittsburgh or wherever the business is when they matter.

No license needed for the business itself

Pennsylvania does not currently require a real estate license to broker a business sale. When a building or a lease assignment is part of the deal, a Pennsylvania licensed real estate agent handles that piece.

Questions

Pennsylvania seller questions.

Clearance certificates, licensed health businesses and remote process questions come up most here.

What is a Pennsylvania bulk sale clearance certificate?

It is a certificate from the Pennsylvania Department of Revenue showing the seller's state taxes are settled when most of the business assets are sold. Buyers ask for it because they can otherwise inherit unpaid taxes. Your CPA files the request ahead of closing.

Can you sell my Pennsylvania business if you are based in Los Angeles?

Yes. Valuation, buyer outreach, the data room and negotiation all run online, and Iconic brings a national buyer network. Site visits and closing meetings happen in person when needed.
