Sell your business

Sell what you built, on your terms, and step into your next era.

A transparent, confidential process designed to maximize value and protect your time. I run the process. You keep running your business.

Why it matters

What owners worry about, and how we handle it.

What is it worth?

Earnings based and market benchmarked. I normalize your earnings, apply sector and size appropriate multiples and check them against real transactions.

Will people find out?

Anonymous profiles, an NDA before any details, qualified buyers only and a logged data room. No NDA, no information.

Who can I trust?

Buyers are screened for experience, motivation and proof of funds before they ever meet you. The best predictor of a serious buyer is action, not intent.

The Iconic process

Six stages from onboarding to closing.

The Iconic process typically runs six to seven months, compared with eleven to twelve for a traditional process. Every stage is managed on Iconic's platform so you always know where things stand.

Wall Street expertise for Main Street businesses

The bridge between a local broker and an investment bank.

Local brokers often rely on listing sites and a contact list. Investment banks bring institutional process but rarely take on Main Street companies. Iconic brings the institutional process to owners with up to $100M in revenue.

How deals are structured

Price is one number. Structure is the whole deal.

Most Main Street sales are asset sales and combine several pieces. We negotiate the how: cash at close, seller notes, earnouts, holdbacks and your transition.

Cash at close

Often the large majority of the price, frequently funded with an SBA loan plus buyer equity.

Seller note

Part of the price paid to you over time, with interest. Often helps close a valuation gap.

Earnout

Part of the price tied to future results. Used sparingly, and defined carefully.

Escrow holdback

A portion held for a period after closing to cover potential claims.

My service standards

Close the value gap

Not ready yet? Use the time to grow the number.

Buyers pay more for businesses that run without the owner, have clean books and show steady growth. If we find gaps, I can introduce partners to help fix them before you go to market.

  • Reduce owner dependence with a capable second in command
  • Clean, accrual based financials with documented add backs
  • Recurring revenue and diversified customers
  • Documented systems, processes and key contracts
  • A lease that can be assigned to a buyer

Five star reviews

What clients say.

If you own a business and think selling is years away, do yourself a favor and talk to Max Snitkovsky now.

Before sitting down with Max, I didn't truly understand my business's real valuation potential. He has a rare gift for demystifying complex valuation models and showing you precisely what drives real enterprise value. Max walked me through the buyer's perspective, highlighting high impact adjustments that directly boost market appeal.

To my surprise, he even mapped out a realistic path to exit much sooner than I had envisioned. Max is far more than a broker. He's a true strategic partner who genuinely invests in your long term success. One conversation with him will completely shift how you see your business.

Chris S.Business owner

I spoke with several brokers before choosing Max, and he gave me the most confidence by far. He took the time to understand my business and my personal goals, and I never felt like just another commission check. He treated my sale like it mattered to him as much as it did to me.

Laura R.Seller

Working with Max Snitkovsky was a seamless experience. From our first call on a Saturday, just a day after I reached out, to evaluating the business with the seller on Monday, his turnaround time was remarkable. Even though the business wasn't the right fit, Max was professional, responsive, and a true pleasure to work with!

Seller FAQ

Straight answers, including on fees.

What does it cost to sell my business?

There is no retainer. Iconic uses a tiered success fee that scales with deal size, paid at closing from the sale proceeds. We review the exact fee together, in writing, before you sign anything.

Other brokers charge less. Why choose you?

Compare what you get: the level of service, the quality of your marketing, how many qualified buyers see your business and the outcomes the team delivers. For the largest transaction of your life, the cheapest option is rarely the one that nets you the most.

Can you lower your fee?

My fee reflects the work and resources that go into your sale: valuation, materials, buyer outreach, negotiation and months of deal management. I would rather earn it by getting you a better result than cut it before we start.

Why an exclusive engagement?

One coordinated process protects you. It keeps your information controlled, avoids mixed messages in the market and lets me create competition between qualified buyers instead of fielding scattered offers.

Do I have to sell 100% of the business?

Not always. Depending on your goals, structures can include a seller note, an earnout, a transition period or a partial sale. We design the structure around what matters to you.

What happens to my employees?

Most buyers want to keep a strong team. We plan when and how to tell employees, usually close to closing, and we can use retention agreements for key people.
