Sell your Orange County business with a clear plan
Before I advised sellers, I was one. I bought a senior care business in Los Angeles, grew it and sold it, and I remember how many questions I had along the way. Now I help owners across Orange County and the rest of Southern California price the business honestly, prepare it for buyers and see the sale through to closing.
Orange County in numbers
About three million residents, more than 159,000 private business locations and an economy of roughly $350 billion a year. Each part of it runs on its own local rules.
| Measure | Figure | Period |
|---|---|---|
| Residents | 3,149,507 | 2025 |
| Private business establishments | 159,193 | First quarter 2026 |
| Gross domestic product | About $351.8 billion | 2024 |
| Nonfarm jobs | 1,688,300 | September 2026, preliminary |
| Incorporated cities | 34, the newest being Aliso Viejo in 2001 | Current |
| John Wayne Airport passengers | 11,369,865, up 2.5% on 2024 | 2025 |
Each of those 34 cities writes its own business license rules, so two similar shops in Fullerton and Newport Beach can carry different local costs into a sale.
Where Orange County jobs are
Professional services and health care lead the county's payrolls, with hospitality, manufacturing and construction close behind. They are the same kinds of businesses I help owners sell, as the guides in the last column show.

| Government | 148,200 | |
| Manufacturing | 147,400 | Manufacturing |
| Construction | 103,700 | Home and commercial services |
| Financial activities | 102,500 |
City license rules buyers will ask about
A buyer's diligence list usually includes proof that local licenses and taxes are current. The license is yours, so it is closed out at the sale and the buyer applies in their own name. What you pay depends on the city.
| Where the business is | How the local tax or fee works |
|---|---|
| IrvineBusiness license | A fee set by headcount: $78.37 a year for fewer than 10 employees; with 10 or more, $156.88 for a new license and $105.23 to renew. Each includes the $4 state fee. |
| Newport BeachBusiness tax | Set by where the business is based and adjusted each July. For FY 2026 to 2027 an in town commercial business pays a $237 base plus $12 per W2 employee (capped at $1,184) if it collects sales tax, or $24 per employee (capped at $2,367) if it does not. |
| Huntington BeachBusiness license | For most business types the tax is based on the number of employees and owners. Unlicensed operation or late renewal adds a penalty of 10% of the tax per month. |
| FullertonBusiness registration | A flat tax by business type, for example $25 for retail, wholesale, manufacturing and office administration and $50 for each professional, plus administrative charges. |
| OrangeBusiness license | Either a flat tax set by business type or a gross receipts tax renewed on the last 12 months of revenue. New flat tax applicants pay a $76 application fee and a $4 state fee on top. |
| Santa AnaBusiness tax | Three published schedules for 2025 to 2026: gross receipts, flat and variable flat rate. Which one applies depends on the type of business. |
| AnaheimBusiness license | The amount is worked out on the annual renewal notice, and a minimum $37 processing fee is added to the tax. |
| Unincorporated areasCounty | Santa Ana's city site points businesses in unincorporated Orange County to the Orange County Sheriff, which licenses specific business types such as massage establishments and secondhand dealers. |
Rates are reset often and every city has its own categories, so your CPA should confirm the final figures before closing. Statewide steps such as CDTFA and EDD clearances, bulk sale notices, ABC license transfers and noncompetes are on my California page.

I have signed the papers on my own exit.
My path into this work started with buying a senior care agency, running it day to day and eventually selling it. I learned what buyers dig into, how long the process really takes and how hard it is to hand over something you built. I bring that to every Orange County owner I work with.

ocbc.orgWhat Orange County owners ask first.
Short answers to the questions that come up early in a conversation about selling.
Which business license tax applies when I sell?
It depends on the city your business operates in. Orange County has 34 cities and each sets its own rules: Irvine charges a fee by employee count, Fullerton a flat tax by business type, and the City of Orange either a flat tax or a gross receipts tax. Plan to settle your account at closing; the buyer applies for a license in their own name.
How do we work together?
By phone and video. From the first conversation through closing, I work with Orange County owners remotely.
Does the Los Angeles transfer tax apply to an Orange County sale?
No. Measure ULA is a City of Los Angeles tax on real property transfers, so it does not reach a building in an Orange County city. The county documentary transfer tax still applies if real estate is part of the deal, and escrow will confirm the amount.
What if my lease needs the landlord's consent?
Most commercial leases require the landlord's consent before the lease can pass to a buyer, and the lease itself spells out what the landlord may ask for. That is why we read it early and build the consent request into the timeline.
Where can I get free help getting ready to sell?
The Orange County Inland Empire SBDC Network, hosted by Cal State Fullerton, offers no cost consulting across Orange, Riverside and San Bernardino counties. I am glad to work alongside your SBDC consultant, CPA and attorney.
